Sign Company Directory Participation Agreement

Effective Date: June 14, 2026

This Sign Company Directory Participation Agreement (“Agreement”) governs participation in the LED Channel Letter Signs directory operated by LED Channel Letter Signs (“Company,” “we,” “our,” or “us”). By creating a profile, submitting business information, purchasing advertising, accepting leads, or participating in the directory, you (“Participant,” “Sign Company,” “Advertiser,” or “Member”) agree to these Terms and Conditions.

1. Purpose of the Directory

LED Channel Letter Signs operates an online directory and marketing platform designed to connect businesses seeking channel letter signs, illuminated signs, storefront signage, and related services with independent sign companies and sign professionals.

Participation in the directory does not create a partnership, joint venture, franchise, employment, agency, or exclusive business relationship between the parties.

2. Eligibility Requirements

To participate in the directory, you represent and warrant that:

You are legally authorized to represent the business being listed.
Your business is legally operating in its service area.
You maintain all required licenses, permits, and registrations.
You carry all insurance required by applicable laws.
Information submitted to the directory is accurate, complete, and current.
You will promptly update inaccurate or outdated information.

LED Channel Letter Signs reserves the right to request proof of licensing, insurance, certifications, or business registration at any time.

3. Directory Listings

Participants may submit:

Company description
Website URL
Phone number
Email address
Service areas
Business hours
Logos
Images
Project photos
Product information
Social media profiles
Customer reviews and testimonials

You grant LED Channel Letter Signs a perpetual, worldwide, non-exclusive, royalty-free license to display, publish, modify, reproduce, and distribute submitted content for directory listings, search engine optimization, advertising, and promotional purposes.

4. Lead Generation Services

LED Channel Letter Signs may provide leads generated through its website, advertising campaigns, search engine marketing, directory listings, and other marketing activities.

You acknowledge and agree that:

Leads may be shared with multiple companies.
Lead volume is not guaranteed.
Lead quality is not guaranteed.
Project size is not guaranteed.
Customer responsiveness is not guaranteed.
Sales conversions are not guaranteed.
Revenue, profit, and return on investment are not guaranteed.

Participation is at your own business risk.

5. Membership Fees and Advertising

If participation includes paid advertising, featured listings, subscriptions, sponsorships, lead purchases, or premium placement:

All fees are due according to the selected plan.
Payments are non-refundable unless otherwise stated in writing.
Failure to pay may result in suspension or removal.
Pricing may be modified with advance notice.
Outstanding balances remain due even after cancellation.

6. Business Standards

Participants agree to:

Conduct business professionally and ethically.
Provide accurate estimates and project information.
Comply with all applicable laws and regulations.
Honor contractual obligations with customers.
Maintain required insurance coverage.
Respond to inquiries in a timely manner.
Avoid deceptive sales or advertising practices.

LED Channel Letter Signs may remove any company that receives repeated complaints or engages in conduct that may harm consumers or the directory’s reputation.

7. Customer Contracts

All estimates, proposals, contracts, invoices, installations, repairs, warranties, and service agreements are solely between the customer and the participating sign company.

Service quality
Installation errors
Manufacturing defects
Missed deadlines
Permit issues
Property damage
Personal injury
Customer disputes
Contract disputes
Payment disputes
Warranty claims

8. Reviews and Ratings

LED Channel Letter Signs may collect and publish reviews, ratings, and customer feedback.

We reserve the right to:

Edit reviews for formatting and readability
Remove fraudulent reviews
Remove abusive content
Investigate review disputes
Reject content that violates our policies

Participants may not submit fake reviews or attempt to manipulate ratings.

9. Directory Placement

LED Channel Letter Signs reserves the sole right to determine:

Search rankings
Listing visibility
Featured placements
Category placement
Geographic visibility
Advertising positions

Directory rankings may consider profile completeness, responsiveness, customer feedback, participation level, service areas, and advertising agreements.

No specific ranking or placement is guaranteed.

10. Intellectual Property

Participants retain ownership of their trademarks, logos, and original content.

Participants grant LED Channel Letter Signs a non-exclusive, royalty-free license to use submitted materials for:

Directory listings
Website content
Search engine optimization
Social media marketing
Email marketing
Advertising campaigns
Lead generation activities

11. Removal and Suspension

LED Channel Letter Signs reserves the right to suspend, reject, or remove any listing at its sole discretion, including but not limited to:

False or misleading information
Consumer complaints
Fraudulent conduct
Non-payment
Licensing concerns
Insurance concerns
Legal disputes
Violations of this Agreement

Removal may occur with or without notice.

12. No Exclusivity

Participation in the directory does not grant exclusivity within any market, city, county, state, category, or service area.

LED Channel Letter Signs may accept competing businesses within the same geographic market.

13. Disclaimer of Warranties

The directory, website, listings, advertising services, and lead generation services are provided on an “as is” and “as available” basis.

LED Channel Letter Signs makes no warranties regarding:

Lead quantity
Lead quality
Directory traffic
Search engine rankings
Revenue generation
Customer acquisition
Business growth
Website uptime

14. Limitation of Liability

To the maximum extent permitted by law, LED Channel Letter Signs, its owners, affiliates, employees, contractors, and representatives shall not be liable for:

Lost profits
Lost revenue
Lost opportunities
Indirect damages
Consequential damages
Special damages
Customer disputes
Data loss

In no event shall our total liability exceed the amount paid by the Participant to LED Channel Letter Signs during the twelve (12) months preceding the claim.

15. Indemnification

Participants agree to defend, indemnify, and hold harmless LED Channel Letter Signs and its owners, employees, affiliates, contractors, and representatives from any claims, damages, liabilities, costs, expenses, or legal fees arising from:

Services provided by the Participant
Customer complaints
Breach of this Agreement
Violations of law
Intellectual property disputes
Advertising claims
Business practices of the Participant

16. Termination

Either party may terminate participation at any time unless otherwise governed by a separate written advertising or membership agreement.

Upon termination:

Listings may be removed from the directory.
Outstanding balances remain due.
Existing legal obligations survive termination.

17. Governing Law

This Agreement shall be governed by and construed under the laws of the State of Colorado without regard to conflict of law principles.

Any dispute arising under this Agreement shall be resolved exclusively in the courts located within the State of Colorado.
